A. INTRODUCTION

This is a class action brought under section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), 1 and rule 10b-5, 17 C.F.R. 240.10b-5, promulgated thereunder. 2 From June 22, 1981, to June 25, 1981, the case was tried to the court without a jury. At the close of plaintiffs’ case, defendants moved for an involuntary dismissal of the action pursuant to Federal Rule of Civil Procedure 41(b) on the ground that, upon the facts and the law, plaintiffs failed to show entitlement to any relief. 3 After hearing oral argument…
