WILLIAM C. CONNER, District Judge:

Third party plaintiffs New Jersey Transit Rail Operations, Inc. and National Railroad Passenger Corporation (“Amtrak”), bring this action for specific performance and indemnification under an insurance agreement between third-party defendants Uni versal Contractors, Inc. (“Universal”) and National Casualty Co. (“National”). This action is presently before the Court on third-party defendant National’s motion for summary judgment pursuant to Fed. R.Civ.P. 56(c). 1
