MEMORANDUM OPINION

The matter before the Court in this Chapter 11 proceeding is the Request for Allowance and Payment of Administrative Expense (“Request”) filed by Best Western International, Inc. (“Best Western”), based on a Membership Agreement (“Agreement”) between Best Western and Debtor Vantage Investments, Inc. (“Debt- or”).
