MEMORANDUM OPINION

GUIN, District Judge.

This' case presently is before the Court on defendants’ (except Sterne, Agee & Leach, Inc.) Amended Motion To Dismiss Action As A Derivative Action and plaintiff’s Opposition thereto. The Court will treat this Motion as a Motion for Partial Summary Judgment that addresses itself to the derivative claims in plaintiff’s Amended Complaint.1 There is no genuine issue as to any material fact.2 By reason of the Court’s conviction that the plaintiff does not fairly and adequately represent the interests of similarly situated shareholders of Computer *639Servieenters…
