This appeal comes to us from the Southern District of Mississippi. Appellant, Olin Corporation, brought suit against Central Industries, Inc. seeking a declaration that Central had breached its agreement with Olin, asking that the agreement be declared terminated and claiming damages for Central’s alleged conversion of Olin’s fertilizer. Jurisdiction was grounded on diversity of citizenship and the amount in controversy.
