The record shows this to have been a New-York transaction. The note in question was executed and indorsed in the city of New-York, by residents there ; and our decision of some, if not of all the questions involved, must have respect to the laws of the state of New-York. Those laws we presume to be the common law, as understood in England and in this state, unless we find a different rule has been adopted, either by statute or judicial decision.
