MEMORANDUM ON DEFENDANT’S MOTION TO DISMISS

The plaintiff, William T. Hendon, Trustee, commenced this adversary proceeding under the authority of 11 U.S.C.A. §§ 544(b), 547, 548 and 550 (West 1979 & Supp.1992) on January 31, 1992. The trustee filed a First Amended Complaint on February 3, 1992, and, with leave of court, a Second Amended Complaint on April 20, 1992.
