The claims in this adversary proceeding arise, out of a failed real estate transaction involving a proposed sale by the Debtor-Plaintiff 1111 Myrtle Avenue Group LLC (the “Plaintiff-Seller”) to Myrtle Property Holdings LLC (the “Defendant-Purchas*570er”) of certain real property located on Myrtle Avenue in Brooklyn, New York.
