DONALD, District Judge.
The plaintiff, Union Planters Bank, N.A. (hereinafter “UP”), brought its complaint against the defendant, EMC Mortgage Corporation (hereinafter “EMC”), as a diversity action seeking indemnification and damages resulting from certain lawsuits pursuant to a mortgage loan purchase agreement. UP filed suit in this court and EMC now moves to dismiss the action or, in the alternative, to transfer it to Texas on the basis of venue and a contractual forum selection clause.
