This is a bill in equity, filed April 23, 1927, to reach and apply the defendant’s interest in a partnership, doing business under the name of the Bailly Manufacturing Company, in payment of a debt alleged to have arisen out of a contract of indemnity. The contract is evidenced by *41an instrument under seal, dated December 18, 1907, as follows: “I, Gustave E. Bailly, in Consideration of Mr. Sol. L.
