(after stating the facts.) — 1. It is contended by counsel for defendants that the contract of April 5, 1890, between the Portland & Sell wood Co., in its corporate capacity, and defendants, in which the corporation agreed to procure the rights of way therein mentioned, should be construed and treated as part of the contract of May 12, 1890, entered into between defendants and plaintiff and his associates in their individual capacity, so as to hold them responsible for the failure, if any occurred, on the part of the corporation to fulfil its agreement as to procuring such rights of way.
