In 1903 Samuel P. Smurr, plaintiff in error, and John F. Kamen, one of the defendants in error, engaged as partners in the manufacture of machinery. The partnership continued until 1907, when a corporation was organized'under the name of Smurr & Kamen Machine Company, with a capital stock of $50,000, divided into 500 shares. One hundred and forty shares were issued to Smurr, 140 shares to Kamen and one share to F. T. McKaig. McKaig’s share was subsequently transferred to Bessie Spencer. In the spring of 1915 the company was on the verge of bankruptcy and it was necessary to re-organize. The…
