BALDWIN, District Judge.

This suit is brought for the purpose of enjoining the defendant from carrying into effect a certain resolution said to have been passed by a majority of its stockholders at a special meeting held on December 9, 1935.

In the bill of complaint, after stating the necessary jurisdictional facts, plaintiff’ alleges: (1) That the defendant is a corporation created, organized, and existing under and by virtue o f the laws of the state of Montana, and operating quartz gold mines and a mill for the reduction of quartz gold ores in Madison county, Mont.; (2) that the plaintiff is…
