This is a direct appeal, pursuant to 28 U.S.C. § 1293(b), from a judgment of the Bankruptcy Court for the Middle District of Tennessee declaring “invalid” Tennessee’s “opt-out” statute, T.C.A. § 26-2-112. Rhodes v. Stewart, 14 B.R. 629 (Bkrtcy.M.D.Tenn.1981). Confronting the polestar issue of the jurisdiction of a bankruptcy court to exercise the judicial power of an Article III court, it is initially noted that Section 241(a) of the Bankruptcy Reform Act of 1978 (Act), Pub.L.
