This submitted controversy concerns the validity of certain restrictions upon the right to transfer stock and upon the assignment of a proprietary lease in a co-operative apartment house.
The plaintiff and the corporate defendant are organized under the Stock Corporation Law of the State of New York. The corporate defendant was caused to be organized in 1924 by Houston Properties Corporation (referred to as Houston). Since then it has been the owner of real property at the southeast corner of Fifth avenue and Ninety-seventh street, New York city, and the improvement erected there in that year.…
