Joseph Selig formed plaintiff, Mario Va-lente Collezioni, Ltd. (“Mario Valente”), ■with a partner, A.E. “Sonny” Dann to sell men’s overcoats wholesale. Dann owned a company, A.E.D. Imports, Inc. (“AED”), which acted as Mario Valente’s factor. AED, Mario Valente and Confezioni Sem- eraro Paolo (“CSP”) 1 entered into an agreement in 1994 appointing AED as CSP’s exclusive distributor and importer of men’s overcoats in the United States. The agreement, made in Italy, was signed by defendant Paolo Semeraro above a line stating “for and on behalf of Confezioni PAOLO SEMERARO,”…
