OPINION
LONGOBARDI, District Judge.
This is a lawsuit arising under the federal security laws in which the Plaintiff, Atlas Corporation (“Atlas”), seeks injunctive relief. After the action was filed, Atlas moved for a preliminary injunction enjoining the Consent Solicitation of Atlas’ shareholders instituted by the Defendants’,1 Bla-sius Industries, Inc., Blasius Limited Partnership, L & D Precision Limited Partnership, M.W.L.
