Plaintiff-counter-defendant-appellant Universal Instruments Corporation ("Universal") developed and sold an automated assembly system to defendant-counter-plaintiff-appellee Micro Systems Engineering, Inc. ("MSEI") in 2007 pursuant to a purchase agreement. MSEI developed a multi-phase plan to build a system to automate the handling of medical devices during its quality testing process, and Universal won the bid to provide the equipment for the first phase.
