OPINION

DELA CRUZ, Chief Justice:

Kenneth L. Govendo ("Govendo1*) appeals the dismissal of his action against Micronesian Garment Manufacturing, Inc. ("MGM" or "the company") and the NMI Coastal Resources Management Office *273("CRM" or "the agency").1 The action was dismissed for failure to state a cognizable claim, pursuant to Com.R.Civ.P. 12(b)(6).2
