This appeal involves a dispute between Trans-Canada Power Marketing Ltd. (TransCanada), a wholesale power distributor, and National Grid USA (National Grid). Pursuant to three separate wholesale power contracts, Trans-Canada delivers power to affiliates of National Grid, which then sell it to their retail customers. When a dispute arose between National Grid and TransCanada under their contracts concerning the proper allocation of certain costs incurred in the wholesale and retail distribution of power, they proceeded to a three-member arbitration panel.
