I. INTRODUCTION

On June 14,1995, the United States Bankruptcy Court for the District of Delaware entered an order approving the sale of substantially of the assets of the Tempo Technology Corporation (“the Debtor”) to the Tempo Acquisition Corporation (“TAC”) pursuant to section 363(b)(1) of Title 11 of the United States Bankruptcy Code.
