This action was commenced by the plaintiffs 1 on February 16, 1982, in the Court of *686Chancery of the State of Delaware in and for New Castle County against Interlakes (Canada) Realty Corporation (“Interlakes”), a Delaware corporation, and three individuals, directors of Interlakes: William E. Colesar, Daniel A. Porco and Mary Bosiack. (Docket Item [“D.I.”] 1, Ex. A, ¶ 2.)
