OPINION

DOUMAR, District Judge.

The issue on this appeal is whether the action of the Bankruptcy Court, in denying certain claims filed pursuant to a modified chapter 11 plan, should be affirmed. This appeal was taken by the debtor, Middle Plantation of Williamsburg, Inc. (Middle Plantation) and Hab Baker, III (Baker). Baker is President of Middle Plantation, its chief executive, operations and financial officer, and its principal stockholder.
