MEMORANDUM OPINION

CAMPOS, District Judge.

This case was tried to the Court on April 18,19 and 20, 1983. After careful consideration of the testimony and the exhibits ad duced at trial and following a review of the legal authorities which bear upon the various issues raised by the parties, the Court, pursuant to the requirements of Fed.R. Civ.P. 52, enters this Memorandum Opinion as its findings of fact and conclusions of law.
