LITTLE, District Judge.
Before the court are a Motion for Summary Judgment by Plaintiff, Machal, Inc. (“Machal”) and a Motion to Dismiss by Defendants, Tri-Millennium Corporation, Inc. (“Tri-Millennium”) and BBC Entertainment, Inc. (“BBC”). Machal’s Second Amended Complaint seeks declaratory judgments on three issues and asserts a pendent jurisdiction claim for unjust enrichment.
