This appeal grows out of a class action brought by former employees of U.S. News & World Report, Inc. (“U.S. News” or “the Company”) following the sale of the Company to a real estate developer and investor, Mortimer Zuckerman. The action was filed to redress what the members of the class alleged to be a gross undervaluation of their respective ownership and profit-sharing interests in U.S. News at the time of their respective retirement or termination of employment.
