Plaintiffs are individual members of defendant, The Automobile Club of Philadelphia, a nonprofit corporation. These members brought this complaint in equity as a class action seeking to enjoin defendant from conducting a special meeting of its members set for October 7, 1964, at 10:30 a.m. to vote on a proposed merger of defendant and The Keystone Automobile Club, another Pennsylvania nonprofit corporation. A preliminary injunction was asked to postpone the meeting date, and to declare invalid voting by proxies which had allegedly been solicited for use at the time of the meeting.
