THIS was a demurrer to the complaint in an action on a contract of life insurance.

The complaint alleges, in substance, that the defendants are a foreign corporation, duly chartered and entitled by the laws of Hew-York to make contracts for life insurance; and that one A. B. McDonald, of the city of Hew York, is their duly authorized agent to make the contract in question, which was as follows :

“ Beceived from Mrs. Caroline Fried, the sum of $80.25 premium on a proposal of assurance for $5000, on the life of her husband, Henrich Fried, which is to be forwarded immediately to the head office at Liverpool, England, for acceptance. If it he accepted, a policy will be issued in…
