LAMB, Vice Chancellor.
A former cofounder, officer, and director of a Delaware corporation brings this action to obtain advancement of attorneys’ fees and expenses incurred in defending an action brought against him in California by the corporation, in which it was alleged that he wrongfully misappropriated the corporation’s confidential information and used it in forming a competing enterprise.
