Harris Sterman appeals from a judgment dismissing his action for rescission of a sales contract between Wisconsin Electronics Supply Co., Inc. (WES), seller, and Philip Hombeck and L. James Deutsch, purchasers. Harris claims he is a stockholder in WES and that the corporation sold substantially all of its assets to Hombeck and Deutsch without stockholder notice or approval contrary to sec. 180.71, Stats.; therefore, Harris argues that the sale should be rescinded.
