Pending before the Court is Defendant Valsamis, Inc.’s (“Valsamis”) Motion to Transfer Venue (Dkt. 16). Having reviewed the full record1 and the governing legal authorities, the Court concludes that the forum-selection clause - is enforceable and no “extraordinary circumstances” weigh against transfer under 28 U.S.C. § 1404(a).
