OPINION

COMPTON, Justice.

This appeal arises out of a dispute over a joint venture agreement between Hyda-burg Cooperative Association (HCA) and Hydaburg Fisheries to operate a fish processing plant in Hydaburg, Alaska. The dispute arose when the United States Department of Commerce Economic Development Administration (EDA) failed to approve the agreement. EDA’s approval was necessary because HCA had received an EDA grant to develop the plant. Pursuant to the terms of the agreement, the parties submitted the dispute to arbitration.
