MAGILL, Circuit Judge:

Plaintiff-Appellant SCADIF, S.A. (“SCADIF”) appeals the district court’s judgment in favor of Defendant-Appellee First Union National Bank, n/k/a Wacho-via Bank (“First Union”). SCADIF alleges that First Union is strictly liable to SCADIF for approximately $3.2 million because First Union failed to pay or return a check for this amount before the “midnight deadline,” as required by the Uniform Commercial Code (“UCC”), as codified in Florida.
