The alleged error of the trial court in denying the motion to strike certain portions of the amended complaint will first be considered. The complaint alleged, in substance, the existence of the plaintiff as an Arizona corporation, and the residence of the defendants in the territory of Arizona; that at the time of the execution and adoption of the articles of incorporation the plaintiff corporation had no assets or property whatsoever; that on December 29, 1904, the several defendants, excepting the defendant William O’Neil, agreed among themselves to organize the corporation, and were the…
