MEMORANDUM OPINION
KAPLAN, District Judge.
This is an action by Allen Questrom, former chief executive officer of Federated Department Stores, Inc. (“Federated”), to recover incentive compensation allegedly due him under his employment contract.
Briefly stated, the contract gave Ques-trom the right to a percentage of the increase in the appreciation in the equity value of the company, as determined by an investment banking firm chosen by Federated, over a defined period.
