JONES, Circuit Judge.

The appellant, Anderson Brothers Corporation, a Texas corporation engaged in the business of constructing pipelines, sold a barge dredge to the appellee, Robert W. O’Meara, a resident of Illinois who is an oil well driller doing business in several states and Canada. The appel-lee brought this suit seeking rescission of the sale or, in the alternative, damages. After trial without a jury, the appellee’s prayer for rescission was denied, but damages were awarded. The court denied the appellant’s counterclaim for the unpaid purchase price of the dredge.
