MENTZ, District Judge.
The Celias, defendants in this case (Celias), purchased a tract of land owned by First Financial Bank, later known as Secor Bank, F.S.B. (FFB/Secor), which lent Celias the purchase price for the property and an additional sum for the construction thereon of the Brandy Place Shopping Center (the shopping center). In conjunction with its loan to the Celias, FFB/Secor contracted for a twenty-five percent interest in the value of the completed project.
