DECISION AND ORDER

WARREN, District Judge.

Presently before the Court in this matter is the defendant’s motion to dismiss the complaint, pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure, for failure to state a claim upon which relief can be granted. The Court has carefully considered this matter and concludes, for the reasons stated herein, that the motion must be granted, subject, however, to the plaintiffs petitioning to reopen as to a proper party-defendant.
