BOGGS, Circuit Judge.
James A. Sigmon (“Sigmon”), the owner of numerous coal-producing businesses, signed an agency agreement with Appalachian Coal Properties, Inc. (“Appalachian”). The agreement specified that Appalachian would serve as the exclusive sales agent for Sigmon’s businesses. Pursuant to the agreement, Appalachian contacted several potential purchasers, including KST Consulting Acquisition Company, LLC (“KST”).
