The Court of Civil Appeals have certified to this court the following explanatory statement and questions: “The Bryan Water, Ice, and Electric Light Company was organized on the 27th day of September, 1889, and all of the appellants and J. J. Burrough, one of the seven defendants to this suit, were named in the charter as directors to serve for the first year. Prior to the 27th of September, 1889, the appellants and the said Burrough, as promoters of said corporation, had secured an option on the beer and ice business of the Anheuser-Busch Company, and after the…
