Plaintiff insurer Verían, Ltd. (“Verían”) filed this declaratory judgment action against its insured, John L. Armitage & Co. (“Armitage”). Jurisdiction is predicated on diversity. 28 U.S.C. § 1332. Verían seeks a declaratory judgment that it is not obligated to defend or indemnify Armitage in the case of Allied Corp., et al. v.
