BARNES, District Judge.
Before the Court is a motion for partial summary judgment filed by plaintiff, the Estate of Mary G. Sodorff (Sodorff). Defen*1006dant United Southern Assurance Company (United) has responded to the motion.
I. BACKGROUND
Plaintiff Sodorff filed her complaint in this Court on March 11, 1996, which asks for damages and a declaratory judgment that United wrongfully failed to defend her in a suit in which she was held hable.
