I. INTRODUCTION
This is a civil action brought by plaintiff Mattern & Associates, L.L.C. (“M & A”) against its former employee defendant John Seidel (“Seidel”) for his actions after the employment relationship ended. On December 19, 2005, M & A filed a complaint in the Chancery Court of Delaware to enforce a Limited Liability Company Agreement.
