This Memorandum Opinion and Order constitutes the Court’s findings of fact and conclusions of law regarding the dis-chargeability proceeding commenced on behalf of John R. and Karla E. Carson (“Plaintiffs”) against Harold G. and Paula J. Chamberlain, III (“Defendants”). The dispute is based upon a failed merger of two computer-related businesses.
