MEMORANDUM OPINION AND ORDER
RICHARD J. HOLWELL, District Judge.
Now before the Court is defendants’ motion for summary judgment in an action by plaintiff, Joseph Bartfield, a member of a limited liability company, CFE Management LLC (“CFE”), alleging breaches of fiduciary duty and unjust enrichment by CFE’s second member, James B. Murphy, aided and abetted by his wholly-owned company, J.B. Murphy Associates LLC. Prior to argument on this motion, the Court sua sponte, raised the issue of its subject matter jurisdiction.
