DOERNER, Commissioner.

Plaintiff, a minority stockholder in the Mound City Screw Products- Company, brought this action against the majority stockholders and the corporation. Plaintiff’s petition, as amended, contained three counts. In Count I plaintiff prayed that the court decree the liquidation of the company; in Count II plaintiff sought in a derivative capacity to recover from the individual defendants for the benefit of the corporation compensation paid to the individual defendants alleged to have been excessive; and in Count III plaintiff sought to recover from the company sums…
