Appeal by the plaintiff, Patrick H. Flynn, fi-om. a judgment' of the Supreme :Oourt in, favor of the defendants, entered in the office of the clerk of the county of Kings on the 19th day of May, 1896, upon the decision of the court rendered after a trial at the Kings County Special Term dismissing the plaintiff’s complaint upon the opening.

Cullen, J.:

This action was brought by the plaintiff, a stockholder of the defendant, the Brooklyn City Railroad Company, to set aside a lease of its railroad, executed by that company to the defendant, the Brooklyn Heights Railroad Company. At the opening of the trial of the action the plaintiff admitted that the lease sought to be avoided had been approved by the votes of the holders of more than two-thirds of the stock of the Brooklyn City Railroad Company, and that he (the plaintiff) was the only complaining stockholder.
