For about seven and a half years, Zimmer St. Louis, Inc. (ZSL), was a distributor for orthopedic implants and associated surgical instruments that were manufactured by the Zimmer Company (Zimmer). In early 1990, Zimmer terminated that relationship. In late 1990, ZSL sued Zimmer in a diversity action in federal court, see 28 U.S.C. § 1332(a)(1), alleging state law claims of failure to provide notice of cancellation of a distributorship, tortious interference with a business expectancy, and quantum meruit for various expenses incurred in establishing and…
