Plaintiff Stanford Square, LLC (“Stanford”) brought this action, invoking the Court’s diversity jurisdiction pursuant to 28 U.S.C. § 1332, against defendant No-mura Asset Capital Corporation (now known and appearing before the Court as Capital Company of America) (“Capital”). Stanford sued for breach of contract, breach of implied covenant of good faith and fair dealing, and for refund of transaction fees paid in connection with the unconsummated loan.
