Plaintiffs Michael Caruso, as trustee of the Claudio Trust, dated February 2, 1990, and Gene Montesano, bring this action against defendants Candie’s, Incorporated (“Can-die’s” or the “Company”) and the Licensing Acquisition Corporation (“LAC”), a wholly-owned subsidiary thereof, based upon breaches of contract and the duty of good faith and fair dealing in connection with alleged misrepresentations in their Stock Purchase Agreement.
